This page contains placeholder business and fee details that must be replaced with real information, and should be reviewed by a solicitor, before it goes live.
1. Who we are and who this applies to
These Seller Terms of Service ("Seller Terms") govern your use of Forago as a seller — meaning you operate, manage, or apply to open a shop on the marketplace operated by [PLACEHOLDER: Legal entity name, e.g. "Forago Ltd, a company registered in England and Wales (Company No. 00000000)"] ("Forago", "we", "us"). These Seller Terms apply in addition to our general Terms of Service, which also apply to you.
2. Eligibility
To sell on Forago, you must be operating a genuine food business, be legally entitled to trade in the UK, and be registered with your local authority as a food business as required by law. You must be at least 18 years old and have the authority to accept these Seller Terms on behalf of your business.
3. Applying to sell
When you apply, you'll provide business details, food safety information, hygiene rating status, and insurance details. We review every application by hand. We may approve, reject, or request more information before approving your application, at our discretion. Approval is not a guarantee of ongoing eligibility — we may review your shop's compliance at any time.
4. Your legal responsibilities as a food business
You are solely responsible for complying with all applicable law, including:
- Registration with your local authority as a food business, at least 28 days before trading;
- Operating a HACCP-based food safety management system, with appropriate records;
- Allergen labelling and information requirements under the Food Information Regulations 2014 and "Natasha's Law" (Food Information (Amendment) (England) Regulations 2019), including for products sold pre-packed for direct sale;
- Displaying your Food Hygiene Rating where required, and keeping the rating shown on Forago up to date;
- Weights, measures, and pricing information requirements under trading standards law;
- Holding valid public liability insurance appropriate to your business.
Forago does not inspect your premises, verify food safety practices, or act as your local authority. Listing on Forago does not replace any legal obligation you have as a food business operator.
5. Listing your products
You're responsible for the accuracy of everything you list: descriptions, prices, allergen and dietary information, images, shelf life, and stock levels. Listings must not be misleading. You must keep allergen information accurate and up to date whenever a recipe or ingredient changes.
6. Fulfilling orders
You're responsible for dispatching or preparing orders within the timescales you publish, packaging food appropriately and safely for transit, and ensuring products are within shelf life on arrival.
When a customer places an order, we share the information needed to fulfil it (name, delivery address, contact phone number, and order details) with you. You act as an independent data controller for that information and must only use it to fulfil the order and meet related legal or customer service obligations — never for unrelated marketing — in line with our Privacy Policy.
7. Fees and payment
Forago charges a commission of [PLACEHOLDER: Commission rate, e.g. "10%"] on each completed order, deducted before payout. Payouts are made [PLACEHOLDER: Payout schedule, e.g. "weekly, for orders marked as delivered"] to the bank details you provide. We may change our fees with reasonable notice.
8. Customer service, cancellations and refunds
You're responsible for handling customer queries, cancellations and refunds relating to your products, including where required by the Consumer Contracts Regulations 2013 or because an order arrived faulty, damaged or not as described. If a customer escalates an unresolved issue to us, we may step in to help resolve it and may, at our discretion, issue a refund on your behalf and deduct the amount from your next payout.
9. Reviews and ratings
Customers may leave reviews of your shop and products. You may not offer incentives for positive reviews or attempt to manipulate ratings. We may remove reviews that breach our acceptable use rules.
10. Compliance monitoring
We may ask you to provide updated hygiene certificates, insurance documents, or other compliance information at any time. We may suspend your shop if requested documents lapse or aren't provided, or if we reasonably believe your business is no longer compliant with food safety law.
11. Suspending or closing your shop
You may close your shop at any time by contacting us. We may suspend or close your shop, with or without notice, if you breach these Seller Terms, fail to maintain required food safety or insurance compliance, or if we reasonably believe it's necessary to protect customers or the marketplace.
12. Intellectual property
You retain ownership of your shop content (product photos, descriptions, branding). By listing on Forago, you grant us a licence to display, reproduce and use that content on the site and in our marketing (e.g. featuring your shop on the homepage or in promotional emails).
13. Liability and indemnity
You agree to indemnify us against any claims, losses or costs arising from your products, your breach of these Seller Terms, or your failure to comply with applicable food safety or trading law. To the extent permitted by law, our liability to you is limited to the fees we've collected from your shop in the three months before the issue arose.
14. Changes to these terms
We may update these Seller Terms from time to time. We'll give you reasonable notice of significant changes by email or via a notice in your shop dashboard. Continuing to sell on Forago after a change takes effect means you accept the updated Seller Terms.
15. Governing law
These Seller Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Contact us
If you have any questions about these Seller Terms, contact us at [PLACEHOLDER: Seller support email, e.g. "sellers@forago.co.uk"], or via our contact page.
